Eligibility

The 2010 HuffPost College Sleep Challenge (the "Contest") is only open to contestants who
are U.S. residents above 18 years old by June 22, 2010 and currently enrolled as a freshman
in a US college or university. Void outside the 50 United States and the District of Columbia.
Void in Arizona. The Contest is also void where prohibited by law. Additionally, the following
individuals are not eligible to enter the Contest: employees, consultants, directors and officers
of the Sponsors (defined below) and each respective parent, subsidiary and affiliated company,
(collectively, "Contest Parties"), and immediate family members. The term "immediate family"
includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as "in-
laws," or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family
extension, and any other persons residing at the same household whether or not related.
Contest Sponsor and Administrator

The Huffington Post/Huffington Post College, located at
560 Broadway, Suite 308
New York, NY 10012 are the sponsors and administrators of the Contest ("Sponsors").

Agreement to Official Rules

Participation in this Contest constitutes entrant's full and unconditional agreement to these
Official Rules and Sponsor's and judges' decisions, which are final and binding in all matters
related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth
herein. These Official Rules are subject to change.

LIMIT: Each contestant ("Entrant" or "Contestant") may submit only one entry per day. Once a
submission is submitted it is considered final and may not be modified or edited. Entries will not be returned.

By completing and submitting your entires on the Huffington Post College Facebook Page
website, located at http://www.facebook.com/#!/HuffPostCollege?ref=ts (the "Contest Site"), you agree that your entry conforms to the Content Guidelines section below (the "Guidelines and
Restrictions") and that the Sponsors, in their sole discretion, may reject your entry at any time
and for any reason, including if they believe, in their sole discretion, that your entry fails to
conform to the Guidelines and Restrictions in any way, fails to conform to Huffington Post's
Terms of Use, or otherwise contains prohibited, inappropriate, offensive, infringing or otherwise unacceptable content as determined by the Sponsors, in their sole discretion, in which case your entry shall be disqualified from the Contest.

NOTE: You understand and agree that your entry may be posted online and viewed by other
people during and after the Contest.

Timing

The Contest begins on or about August 27, 2010 at 10:00:01 PM. Eastern Standard Time ("EST"), ends on or about September 24, 2010 at 5:00 p.m. EST (the "Contest Period") and consists of three (3) phases as set forth in the chart below. Sponsor's computer is the official time-keeping device for the Contest.

Content Guidelines and Restrictions:

The entry must meet the following content restrictions:

The entry must not contain material that is inappropriate, indecent, obscene, hateful, tortuous,
defamatory, slanderous or libelous;

The entry must not contain material that promotes bigotry, racism, hatred or harm against
any group or individual or promotes discrimination based on race, sex, religion, nationality,
disability, sexual orientation or age; and

The video must not contain material that is unlawful, in violation of or contrary to the laws or
regulations in any state where video is created.

For all entries:

By submitting an entry, you warrant and represent that:

(a) it is your original work and has been legally created,

(b) it has not been previously published or distributed in any media,

(c) it has not been entered in or won previous contests or awards,

(d) it does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other
intellectual property or other legal or moral rights of any person or entity,

(e) you own all rights to your entry, including without limitation, copyrights, and, that you have
received prior written permission from the videographer of the video if the video entry was taped
by someone other than the entrant him/herself;

(f) publication of the entry via various media, including Web posting, will not infringe on any
third party rights; and

(g) you will indemnify and hold harmless the Contest Parties from any claims and damages
(including reasonable attorneys' fees) arising from or relating to the breach or alleged breach of
your representations and warranties herein, your entry, or your conduct in creating your entry or
otherwise in connection with this Contest.

All entries will become the exclusive property of the Sponsors, and Sponsors have no obligation
to acknowledge or return any entry. By submitting an entry, Entrant irrevocably grants Sponsors
and their respective agents an unlimited, worldwide, perpetual, unconditional, gratis license and
right to edit, modify, adapt, distribute, stream, post, publish, broadcast, reproduce, encode, store,
copy, transmit, publicly display, exhibit, and or otherwise use or reuse (without limitation as to
when or to the number of times used) the entry and all elements thereof, including any persons or
likeness embodied therein, in whole or in part, (in each case, as submitted or as edited/modified
in any way by the Sponsor, in its sole discretion) in any way, and may use them in any and all
media, now or hereafter devised, worldwide in perpetuity, without attribution, compensation,
permission or notification to the Entrant, his/her successors or assigns, or any other entity, and
without notice, review, or approval from the Entrant or any other party.

Furthermore, although Sponsors are not under any legal or contractual obligation to do so,
Sponsors reserve the right to review and/or edit any and all part of an entry deemed by Sponsors, in their sole discretion, to be prohibited, inappropriate, offensive, infringing or otherwise unacceptable. Should Sponsors edit any such elements, Entrant is not relieved from responsibility for compliance with Huffington Post's Terms of Use and these Official Rules. ENTERING A ENTRY IN THIS CONTEST CONSTITUTES THE ENTRANT'S IRREVOCABLE GRANT
OF A LICENSE TO SPONSORS OF ANY AND ALL RIGHT, TITLE AND INTEREST IN THE ENTRY INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS, TO ESTABLISH SPONSORS' RIGHTS TO USE THE ENTRY.

Upon Sponsor's request, each contestant must provide a signed written personal release
and/or license/ assignment from (1) Entrant and all other persons who appear in the Video
submitted, and/or (2) the copyright owner of any sculpture, artwork or other copyrighted
material that appears in the video entry (including but not limited to depictions of buildings or
other structures), authorizing use of the video in Sponsors' and Sponsors' designees' editorial
publications, advertising, marketing and promotions in any and all media now known or hereafter
known throughout the world in perpetuity, without additional compensation, permission or
notification, unless prohibited by law. Where lawful, all Finalists will be required to sign and
properly execute an Affidavit of Eligibility, Compliance with the Rules, Assignment and License,
Liability and Publicity Release, and Travel Release.

All releases must be in the form provided by the Sponsors. Finalists must provide fully completed documentation within five (5) days of the date notice or attempted notice is sent. If any documents sent by any means to a potential Finalist are returned as undeliverable or if a potential Finalist fails to properly execute, notify, and return all documents described herein by the date specified by Sponsors, or if a potential Finalist is found not to be eligible or not in compliance with these Official Rules, the potential Finalist will be disqualified and the next highest scoring entry will move up and be notified, time permitting, and at the sole discretion of the Sponsors. Such substitute Finalist will have 5 days to properly execute and return all documents described herein.

Contest Parties are not responsible for lost, late, incomplete, invalid, un-intelligible, garbled,
delayed, inaccurate or misdirected entries, entries not submitted in accordance with instructions, or entries not received for any reason; all of which will be disqualified. By entering, you acknowledge that Sponsors have no obligation to use or post your submitted entry. Any waiver of any obligation hereunder by Sponsors does not constitute a general waiver of any obligation to Entrants.

Judging to Determine Grand Prize Winners

Entries consist of morning comments to the Huffpost College Facebook page . All eligible
entries received during the Open Call for Entries will be judged by a panel of judges selected and retained by Sponsors, in their sole discretion. This panel will score each eligible Entrant's entry based on the following criteria in equal weight:

-Frequency and depth of comments
-Most improved sleep habits

This panel will determine the top ten entries, to be known as the "Finalists". The finalist will
be highlighted in a slide show for public voting. The judges' decisions are final and binding in
all matters relating to this Contest. If Sponsors do not receive a sufficient number of eligible
and qualified entries, the number of Finalists may be reduced at the discretion of the Sponsors.
Sponsors reserve the right not to select any Finalists if none of the entries meet minimum judging criteria, at Sponsors' sole discretion.

To be eligible to be a Finalist, the Entrant must agree to be available to travel to New York. A
potential Finalist who is not willing and able to travel to New York on the specified date will be
disqualified and forfeit any claim to a prize and the next highest scoring entry will move up and
be notified as a Finalist, time permitting, and at the sole discretion of the Sponsor.

The Finalist will be announced on the http://www.huffingtonpost.com/College/ on or about
September 28, 2010.

The Finalists' submissions will be posted on the Contest Site for member voting, beginning on or
about September 20, 2010 and ending at 5:00:00 PM (EST) on September 27, 2010 (the "Member
Voting Period"). Using the Huffington Post website, visitors will have the opportunity to rank (1
through 6 with 1 being the highest ranking) the Finalist Submission during the Member Voting
period. Instructions for how to vote will be provided. At the conclusion of the Member Voting
Period the votes will be tabulated by the Sponsors. The Finalist with the best vote totals will
win the Grand Prizes (defined below). In the event of a tie at any level, all tied entries will be re-
judged by an additional judge selected by the Sponsors, who, using the judging criteria detailed in
the previous section, will break the tie.

Grand Prize

The Grand Prize Winner (no guests or parents/guardians) will receive round trip transportation
to New York, New York (by means elected by the Sponsors) and two (2) nights hotel stay (one
standard room) at the discretion of the Sponsors (the "Grand Prize"). All local travel and food are
included.
Total estimated retail value of the Grand Prize is $1,000. The Grand Prize is non-transferable; no
substitutions or cash awards allowed, except at the sole discretion of the Sponsors, in which case
a prize of equal or greater value may be awarded. Grand Prize Winners are responsible for all
other costs/fees/expenses associated with the trip, including but not limited to meals, tips, ground
transportation, insurance, etc. All details of any prize not specified herein shall be determined
solely by the Sponsors.

Taxes

Any valuation of prize(s) stated above is based on available information and the value of any
prize awarded to a winner may be reported for tax purposes as required by law. Each winner is
solely responsible for reporting and paying any and all applicable taxes related to the prize(s)
and paying any expenses associated with any prize that are not specifically provided for in the
Official Rules. Each winner must provide Campus Progress with valid identification and a valid
taxpayer identification number or social security number before any prize will be awarded. Grand
Prize Winners may receive an IRS form 1099 at the end of the calendar year and a copy of such
form will be filed with the IRS.

Publicity

By participating, where allowed by law, all participants and winner(s) grant the Sponsors
exclusive permission to use their names, characters, photographs, voices, and likenesses in
connection with promotion of this and other contests and waive any claims to royalty, right, or
remuneration for such use.

LIMITATIONS OF LIABILITY AND RELEASE

The Sponsors and Contest Parties:

Disclaim all liability for the inability of a participant to complete or continue an entry or
submission of an entry due to equipment malfunction, busy lines, inadvertent disconnections,
acts beyond our control, or otherwise. For all contests, we disclaim all liability for any
delays, misdelivery, loss, or failure in the delivery of any item. We are not responsible for
mechanical, technical, electronic, communications, telephone, computer, hardware or software
errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed
transmission of online entries, traffic congestion on telephone lines, the Internet or at any
website or lost or unavailable network connections which may limit an online Entrant's
ability to participate in the Contest, and any injury or damage to an Entrant's or any other
person's computer related to or resulting from participating in or downloading any information
necessary to participate in the Contest.

Are not liable in the event that any portion of the Contest or the Prize Event is cancelled due
to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control
(a "Force Majeure Event"). Should a Force Majeure Event occur, the Sponsors may, but are not
obligated to, exercise reasonable efforts to air the winning videos and deliver all or part of the
prize or make a reasonable substitution in their sole discretion.

By participating in the Contest, each Entrant waives any and all claims of liability against the
Sponsors and Contest Parties, their employees and agents for any personal injury or loss which
may occur from the conduct of, or participation in, the Contest, or from participation in the Prize
Event and any travel in connection therewith. In order to receive any prize, the winner(s) must
sign an official waiver or release and other documentation provided by the Sponsors.

Privacy

Any personally identifiable information that you submit will used and collected in accordance
with Sponsors' privacy policies, located at http://www.huffingtonpost.com/privacy/.

Disputes and Jurisdiction

Except where prohibited, Entrant agrees that any and all disputes, claims and causes of action
arising out of or connected with this Contest or any prize awarded shall be resolved individually,
without resort to any form of class action, and exclusively by a Court of the District of Columbia.

NOTICE TO ENTRANTS: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY
DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF
THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD
SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK
DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT
PERMITTED BY LAW. Sponsors are not responsible for faulty, incorrect or
mistranscribed phone transmissions, incorrect announcements of any kind, technical
hardware or software failures of any kind including any injury or damage to any person's
computer related to or resulting from participating in or experiencing any materials in
connection with the promotion, lost or unavailable network connections, or failed,
incomplete, garbled or delayed computer transmission that may limit a user's ability to
participate in the promotion. Sponsors reserve the right to cancel or modify the Contest if
fraud, misconduct or technical failures destroy the integrity of the program; or if a
computer virus, bug, or other technical problem corrupts the administration or security of
the program as determined by the Sponsors/judging agency/administrators, in their sole
discretion. If technical malfunctions or suspect voting/irregularities corrupt the voting
process, Sponsor reserves the right, in its sole discretion, to award prizes based solely on the
Finalist judging scores or non-suspect votes. In the event of termination, a notice will be
posted online and entries will be judged from among all eligible entries received prior to
termination. Any damage made to the Contest Site will be the responsibility of the
authorized e-mail account holder of the e-mail address submitted at the time of entry. Proof
of submitting entries will not be deemed to be proof of receipt by Sponsors. Any use of
robotic, automatic, programmed or the like methods/votes of participation/voting will void
all such submissions/votes by such methods. Sponsors reserve the right to prohibit the
participation of an individual if fraud or tampering is suspected or if the person fails to
comply with any requirement of participation as stated herein or with any provision in these
Official Rules.
